1. Introduction
Welcome to Blue Design SRL. By accessing or using our website or engaging in business with us, you agree to comply with and be bound by these Terms and Conditions (the „Terms”). If you disagree with any part of these Terms, please refrain from using our website or conducting business with us.
These terms and conditions are divided into two sections:
- Section A: Website Usage Terms: Covering the use of our website.
- Section B: Business Terms: Governing the provision of our professional digital services.

2. Intellectual Property Rights
Unless otherwise stated, Blue Design SRL or its licensors own the intellectual property rights for the website and its content, including all text, graphics, logos, and service descriptions. You may view and download content for personal, non-commercial use only, subject to the restrictions outlined in these terms.
3. Restrictions
You are strictly prohibited from:
- Republishing, selling, renting, or sub-licensing any material from our website.
- Reproducing, duplicating, or copying material from our website for any commercial purpose without express written permission from Blue Design SRL.
- Using our website in any way that causes, or may cause, damage to the website or impairs its accessibility.
- Using our website in any manner that is unlawful, illegal, fraudulent, or harmful.
4. Limitation of Liability (Website Usage)
In no event shall Blue Design SRL be liable for any indirect, special, incidental, or consequential damages, including but not limited to loss of data or profits, arising out of or in connection with your use of our website. Our liability is limited to the maximum extent permitted by applicable law.

5. Service Offerings and Agreements
Blue Design SRL provides a range of web development, e-commerce, content, maintenance, hosting, and local SEO services. Detailed descriptions of our service offerings are available on our website. The specific scope of work, deliverables, and timelines for each project will be documented in a separate Service Agreement or Proposal, which, once accepted, forms an integral part of this agreement.
6. Pricing and Payment Terms
Prices for subscription-based services (Maintenance, Hosting, Map Listing) are listed on the respective service pages. Prices for custom projects will be communicated through an individual quotation or contract. All service fees, payment schedules, and invoicing details will be clearly defined in your Service Agreement or Proposal. Unless otherwise specified, invoices are due upon receipt. Late payments may incur interest charges as permitted by applicable law.
7. Client Responsibilities and Deliverables
As a client, you agree to:
- Provide timely and accurate information, necessary content, and critical feedback required for project completion. Delays caused by the client dependency will not constitute a breach of contract by Blue Design SRL.
- Ensure proper authorization for any materials provided for use in our services (e.g., licensed images, custom fonts).
- Adhere to all agreed-upon payment schedules.
8. Intellectual Property and Ownership
Upon full payment for services rendered, the intellectual property rights for the final, unique deliverables (e.g., custom website design, unique graphics, custom code) will be transferred to you, the client.
Blue Design SRL retains the right to display completed projects in its portfolio for promotional and marketing purposes. Any pre-existing intellectual property, proprietary tools, or third-party licenses (e.g., themes, core CMS, stock photos) remain subject to their original terms.
9. Cancellations and Termination
Either party may terminate a service agreement by providing written notice as specified in the individual Service Agreement.
- In the event of termination by the client, any outstanding fees for work completed up to the termination date will be due immediately. Refunds will be processed strictly in accordance with the terms specified in the signed service agreement.
- Blue Design SRL reserves the right to suspend or terminate services for breaches of these Terms or the Service Agreement, including non-payment.
10. Limitation of Liability (Business Services)
Our total liability to you for any claim arising out of the provision of services will be limited to the total fees paid by the client for the specific service in question during the immediately preceding three (3) month period. This limitation does not apply to liability resulting from gross negligence, fraud, or any other liability that cannot be excluded under applicable law.
11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Romania. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Târgu Mureș, Romania.
12. Entire Agreement
These Terms and Conditions constitute the entire agreement between you and Blue Design SRL concerning the provision of our services, superseding all previous agreements regarding your business engagements.
